Summary

Constellation Brands' Q2 beer shipments rose 5.5% while depletions fell 0.6%, so restocking drove sales; Wine and Spirits grew 17% and turned profitable.

Constellation Brands (STZ) reported fiscal 2027 second-quarter results for the quarter ended August 31, 2026, in an 8-K earnings release on October 6, 2026, and the Q2 beer sales acceleration came mainly from distributor restocking while consumer demand had not yet recovered [1]. The earlier questions for the company were whether beer volume could stabilize while keeping its high margin, whether the Wine and Spirits business could return to profit, and whether lower capital spending could lift free cash flow. In the quarter, Wine and Spirits sales accelerated and the segment returned to an operating profit, while cash flow progress matched the full-year targets [1]. Taken together, first-half revenue ran ahead of the level implied by full-year guidance, part of that gain should reverse in the second half, and the overall view of the company is unchanged.

Constellation Brands mainly sells Mexican imported beer in the United States, and its main customers are wholesale distributors. In fiscal 2026, Beer net sales were $8.315 billion and Wine and Spirits net sales were $824 million [3]. In the latest quarter, Beer made up about 94% of consolidated net sales of $2.633 billion and remained the main source of profit [1].

Beer sales growth came from restocking while depletions kept falling

Beer net sales rose 5% to $2.4736 billion in the second quarter, faster than roughly 2% in the first quarter, and the increase came from shipments [1]. Shipments grew 5.5% to 123.9 million cases. Depletions, which measure distributor sales to retailers and sit closer to consumer demand, fell 0.6% in the quarter after a 0.3% decline in the first quarter [1]. Depletions of Modelo Especial and Corona Extra fell about 2% and about 5%, while Pacifico and Victoria grew about 19% and about 15% [1]. In Circana U.S. tracked channels, the company's beer growth beat the category by 4 percentage points [1].

Management attributed the gap of about 6 percentage points between shipments and depletions to restocking. On the earnings call, management said shipments ran low in the prior fiscal year, so the first half rebuilt distributor inventory; inventory remains below historical averages, and full-year shipments and depletions are expected to land within 1% of each other [2]. The company did not disclose the size of the restocking. The company kept its full-year Beer net sales guidance of a 1% decline to 1% growth [1], while first-half revenue had already grown about 3.9%, so second-half revenue will be lower than a year earlier.

Beer profit conversion stayed stable, but operating income grew only modestly. Second-quarter Beer operating income rose 1% to $964.2 million, and the operating margin fell 160 basis points to 39.0%; the company said higher marketing and SG&A spending offset lower tariff costs and better fixed-cost absorption [1]. Management expects a second-half Beer operating margin of 34.5% to 35.5%, mainly reflecting seasonality [2], and the full-year guidance of 37% to 38% is unchanged [1].

After the quarter, the company acquired the ready-to-drink brand SpikedAde for a $75 million payment at close and up to $278 million of contingent consideration, and placed it in the Beer Division [4]. That volume expands the business scope and cannot show that demand for the existing beer portfolio has recovered; the company said the deal does not affect its fiscal 2027 outlook [1].

Wine and Spirits turned depletion growth into sales and a profit

Wine and Spirits depletions grew 10.2% and shipments grew 15.4% in the second quarter, and net sales rose 17% to $159.4 million, faster than 8% organic growth in the first quarter [1]. Growth came mainly from Kim Crawford and Mi CAMPO [1]. Shipments ran ahead of depletions, so the distributor destocking expected earlier did not appear in the quarter.

The segment earned $6.1 million of operating income, compared with a $19.8 million loss a year earlier, and its margin rose to 3.8% [1]. The company attributed the improvement to recoveries of U.S. tariffs that lowered cost of product sold and to restructuring savings in marketing and SG&A; the tariff recovery amount was not disclosed and is unlikely to repeat [1]. The margin is still below full-year guidance of 5% to 6%, and the company did not raise its full-year organic sales guidance of a 1% decline to 1% growth, which implies lower second-half sales than a year earlier [1]. The sale of New Zealand brands and the planned divestiture of Nelson's Green Brier will keep shrinking the revenue base [1].

Conclusion

This report shows that the company's growth still depends on beer depletions, which have not stabilized, and revenue gained from restocking should partly reverse in the second half. The Beer margin stayed within guidance despite heavier marketing, and the Wine and Spirits return to profit included a one-time factor. First-half free cash flow rose 4% to $1.1245 billion because capital spending fell, and the full-year target of $1.6 billion to $1.7 billion was reaffirmed [1]; the Veracruz brewery is 85% complete and, after it starts operating in early fiscal 2028, will add about $75 million of annual depreciation [2]. Positive beer depletions next quarter would support the view that demand is stabilizing, while further depletion declines or a second-half margin below 34.5% would weaken it.
