ClimateRock amended its merger agreement with GreenRock and related entities, removing TEP Renewables Limited’s acquisition as a closing condition and the earnout escrow, increasing closing share consideration from 28 million to 32 million Holdings ordinary shares while keeping aggregate merger consideration unchanged, and extending the outside date to March 31, 2027.
